Company Registration Process Sequence
To register a new private limited company online, the following steps must be performed in the correct order:
-
Acquire DIN & DSC of promoters (B): The first step involves obtaining a Director Identification Number (DIN) for all proposed directors and a Digital Signature Certificate (DSC) for the promoters. These are essential prerequisites for filing any incorporation forms.
-
Select and Reserve Company Name (A): After securing DIN and DSC, the promoters need to choose a unique name for the company and reserve it through the official portal to ensure availability.
-
Draft Memorandum and Articles of Association (C): The Memorandum of Association (MoA), defining the company's objectives and scope, and the Articles of Association (AoA), outlining the internal rules and regulations, must be drafted. This is done after name reservation.
-
File SPICE+ Application (E): The SPICE+ (Simplified Proforma for Incorporating Company Electronically Plus) form is the primary application submitted to the Registrar of Companies (RoC) for incorporation. It integrates various services and requires details from the MoA, AoA, and promoter information.
-
Get Company Registration Certificate (D): Upon successful submission and verification of the SPICE+ form and related documents by the RoC, the Certificate of Incorporation is issued, officially establishing the company.
Therefore, the correct sequence is B, A, C, E, D.
